By registering on the Giffywalls Designer Portal, you (the "Designer") agree to the following terms and conditions set by Giffy Sign LLC (operating as Giffywalls across the USA, UK, India, and Australia):
1. Parties Involved
This agreement is between you, the Designer, and Giffy Sign LLC, referred to as the Company, operating globally through online stores in the USA, UK, India, and Australia.
2. Use of Designs
You grant the Company a non-exclusive, royalty-based, worldwide license to use your uploaded designs on wallpaper and related products sold through Giffywalls stores. This includes production, marketing, and sales.
You retain full ownership of your original designs.
3. Uploading & Access
Upon completing your registration:
- You’ll receive access to the Giffywalls Designer Portal.
- You can upload your designs, view your sales, royalties, and request payouts.
- The Company may review submissions for technical formatting but won’t alter your creative content without your consent.
4. Royalty Payments
- You will earn a royalty on each sale featuring your design.
- Earnings are visible through the Designer Portal.
- You may request payouts anytime; payments are made via PayPal within 24–48 hours of request.
5. Tax Responsibilities
You are responsible for your own tax filings based on your country’s laws. Giffywalls does not issue tax forms. You are not considered an employee or contractor of the Company.
6. Termination Policy
- Either you or the Company may terminate this agreement at any time with 30 days’ written notice.
- Once terminated:
- Giffywalls will stop using your designs in new production.
- Final royalties will be paid within 30 days of the termination date.
7. Your Warranty
By uploading any design, you confirm that:
- You own or have rights to the design.
- Your design does not infringe on any copyrights, trademarks, or third-party rights.
- You have full legal authority to license the design to Giffywalls.
The Company will not be held responsible for third-party legal claims related to your designs.
8. Confidentiality
Both parties agree to keep all sensitive information confidential for five (5) years after this agreement ends. This includes sales data, royalty figures, and design files.
9. Legal Jurisdiction
Any disputes will be handled under the laws of Massachusetts, USA, unless otherwise agreed in writing.
10. Final Agreement
By clicking "I Agree" during registration, you confirm that:
- You’ve read and understood this agreement.
- You agree to all the terms listed above.
- You accept this as a legally binding digital agreement between you and Giffywalls.
